These Terms of Use (the "Terms") set out the rules governing use of the Madlen platform (the "Service") operated by Madlen Teknoloji (the "Company"). Madlen is an AI-powered education platform designed for K-12 schools that connects the teacher and student sides in a single integrated system.

By using the Service or creating an account, you are deemed to have accepted these Terms. If you do not accept these Terms, please refrain from using the Service.

1. SCOPE OF THE SERVICE

Madlen is an AI-powered education platform offering lesson planning, content generation, assessment, rubric-based feedback, reporting, and personalized learning support. The Service is continuously developed and may change over time.

1.1. Eligibility

You must be at least 18 years old to create an individual account. If you are acting on behalf of an institution, you are deemed to represent that you are authorized to accept these Terms on behalf of your institution.

Student accounts registered under school use are exempt from this age requirement; in that case, the provisions of Section 3 (School Use) apply.

1.2. Account Security

Providing accurate and current information when creating an account is mandatory. Maintaining the confidentiality of the account is the user's responsibility. Any unauthorized access must be reported immediately to hello@madlen.io.

2. ARTIFICIAL INTELLIGENCE AND GENERATED CONTENT

2.1. Responsibility for AI Output

Madlen produces AI-powered content. The accuracy of generated content is not guaranteed; users are required to review the content and check for errors.

2.2. Draft Nature

AI outputs are provided as drafts. Teachers are expected to review, edit, and approve outputs in line with their professional judgment. Madlen does not recommend that its AI-powered features be used as the sole or primary criterion in student performance assessments.

2.3. Personal Data Input Warning

It is advised that personally identifiable information (name, identification number, health data, etc.) not be entered into the AI features. Users are also obligated to inform their authorized users accordingly.

2.4. Ownership of User Content

The ownership rights in content uploaded by users to the platform ("User Input") belong to the user. The intellectual property rights in content generated by the AI through the platform ("Output") belong to Madlen, and the user is granted a license to use it within the framework set out in Section 2.5. Madlen has the right to store, display, and technically process User Input for the purpose of providing the Service; content is not shared with third parties beyond the scope of these rights.

Lesson plans, assessments, and materials generated within school accounts constitute educational records and are processed within the framework of applicable legal regulations.

2.5. Use of Output

Madlen grants the user a broad, royalty-free, perpetual license to use the Output. The user may freely use the Output in their professional and educational activities, in teaching and assessment work, and within their institution. The following uses require Madlen's separate written permission: (a) incorporating the Output into commercially published or sold products (books, question banks, paid courses, etc.); (b) reselling or redistributing the Output in bulk; (c) using the Output to train third-party AI models. The user may not present the Output as if it were human-generated.

2.6. Representation Regarding User Input

The user represents and warrants that they have the right to use the material they upload to the platform and that they are not uploading third-party copyrighted or protected content without authorization. Responsibility for any intellectual property infringement arising from uploaded content lies with the user.

2.7. Improvement of the Service

The user permits User Input, Output, and usage data to be processed for the purpose of providing and improving the Services and developing Madlen's AI models and learning graph. Such processing is carried out under Section 4 and the Privacy Policy, in compliance with applicable data protection law. For student data, the provisions of Section 3 and the relevant data processing agreement prevail.

3. SCHOOL USE

This section applies to school administrators, teachers, and other school staff ("School Personnel") using Madlen on behalf of their institutions.

3.1. Usage Limitations

School Personnel are obligated to confirm that use of the Service complies with their institution's policies. The tools Madlen provides cannot replace professional judgment in assessing student performance; they may be used only in a complementary capacity.

3.2. Parental Consent and Notice Obligation

School Personnel who open student accounts or direct students to use the Service are responsible for obtaining the parental consents required under applicable law and for providing appropriate notices to parents. This obligation rests with the School Personnel acting on behalf of the institution.

3.3. Student Accounts

Student accounts created through the school ("School Accounts") and accounts opened individually by students are managed independently of one another. Accounts created via a school connection may be closed at the institution's request; in that case, processing of user data continues in accordance with the Privacy Policy.

3.4. Students Under 13

Students under 13 may use the Service only if one of the following conditions is met:

If a parent withdraws consent, School Personnel must promptly notify Madlen to suspend the relevant student's access to the Service.

3.5. Special Condition for Minors

Every student account with access to AI features must be linked to the account of an authorized teacher or School Personnel.

4. PRIVACY AND DATA PROTECTION

4.1. Protection of Personal Data

Madlen Teknoloji attaches great importance to the protection of personal data. Personal data provided while using the Service is processed within the framework of applicable data protection law, including KVKK and GDPR. For details, please refer to our Privacy Policy.

4.2. Processing of User Data

Data generated during use of the Service may be processed for the purpose of enabling the platform's functionality. Anonymized data analysis may be performed to support platform development processes.

4.3. Third-Party Integrations

Madlen may integrate with third-party services. Such services have their own privacy policies, and Madlen Teknoloji cannot be held responsible for their privacy practices.

4.4. Third-Party Sign-In Services

If the user chooses to use third-party services such as Google or Microsoft to sign in, those services' own terms of use and privacy terms apply. The user is responsible for any issues arising from misuse of, or violation of the terms of, such services.

5. INTELLECTUAL PROPERTY

5.1. Materials Belonging to Madlen

All elements comprising the Service, including the platform interface, design elements, software infrastructure, educational content, and the learning graph, belong to or are licensed by Madlen Teknoloji. No right not expressly granted in these Terms is deemed transferred to the user.

5.2. Copyright Infringement Notice

Users who identify a copyright infringement should send details of the alleged infringement and the relevant content to hello@madlen.io. Following review of the notice, Madlen reserves the right to remove the relevant content or block access to it. Repeat infringements may result in the suspension or closure of the account.

5.3. Feedback

Madlen may freely use any suggestions, ideas, and feedback the user provides regarding the Services. The user agrees that all rights arising from such feedback belong to Madlen and that no compensation will be claimed in return.

6. PROHIBITED USES

The Service may not be used for the following purposes:

If prohibited uses are detected, Madlen Teknoloji reserves the right to suspend or close the account without prior notice.

7. FEES AND SUBSCRIPTIONS

7.1. Pricing

Madlen is available through an institutional sales method. To experience the platform and obtain current pricing information, the hello@madlen.io contact channel may be used.

7.2. Subscription Cancellation

Madlen subscriptions may be cancelled at any time. When a subscription is cancelled, the Service remains available until the end of the current period; payments are non-refundable.

8. DISCLAIMER AND LIMITATION OF LIABILITY

8.1. "As Is" Provision

The Madlen platform is provided "as is" and "as available." The Company does not warrant that the Service will be uninterrupted, error-free, or secure.

8.2. Limitation of Liability

Madlen Teknoloji cannot be held liable for damages arising from the following:

Madlen Teknoloji's total liability to any user shall under no circumstances exceed the subscription fee paid by that user in the preceding 12-month period.

8.3. Indemnification

Users agree to indemnify Madlen Teknoloji, its managers, employees, and business partners against any and all claims, lawsuits, losses, and costs arising from any breach of these Terms or from unauthorized use they carry out.

9. INTERNATIONAL USE

The Service is operated from Türkiye. Users accessing from outside Türkiye accept that their personal data may be stored and processed in Türkiye, and that this country's data protection law may differ from the regulations in their own countries.

Users residing outside Türkiye may continue to hold the legal rights applicable in their jurisdiction. For users residing in the EU or the United Kingdom, rights under the GDPR are reserved.

Madlen does not warrant that the Service is appropriate or available in specific regions.

10. CHANGES TO THE TERMS

10.1. General

Madlen Teknoloji may update these Terms from time to time. For material changes, users are notified at their registered email address or an announcement is published on the platform. The updated Terms take effect within 30 days of the notification date. Continuing to use the Service means the updated Terms have been accepted.

10.2. School Accounts

Where material changes adversely affect the manner in which student educational records are used or shared, the institution has the right to object within 30 days following notification. If an objection is submitted, school accounts continue to be managed under the previous Terms until the end of the current contract period or academic year.

11. DISPUTE RESOLUTION AND LEGAL TERMS

11.1. Governing Law

These Terms are interpreted and applied in accordance with the laws of the Republic of Türkiye.

11.2. Resolution of Disputes

Disputes that may arise between the parties are first addressed through negotiation. If no settlement is reached through negotiation, the arbitration centers of Istanbul are designated as competent.

11.3. Class Action Waiver

Users waive the right to bring a class action against Madlen Teknoloji.

12. TERMINATION

Users may delete their accounts at any time. Madlen Teknoloji may suspend or close an account without prior notice if a violation or misuse is detected. Upon account deletion, user data may be retained or deleted in accordance with applicable legal regulations.
